• Valuation: $581M Pro-forma enterprise value

• Additional Financing: $168M committed capital

  • —> $117.5M in PIPE and non-redemption agreements

  • —> $50.5M Ambipar Group: “in exchange for the partial conversion of debt into equity in the amount of $50.5 million pursuant to a certain loan agreement”
