Merger Votes/ Completions:

• Decarbonization Plus Acquisition Corporation II (DCRN) shareholders approved its merger with Tritium

  • Closing is expected to be 1/13 with the ticker change to DCFC on 1/14

  • DCRN had earlier announced that:

    • Tritium has waived the min. cash condition

    • DCRN expects to receive backstop commitments from Tritium shareholders and the sponsor to purchase up to $45M of shares post-closing at $6 per share

• CC Neuberger Principal Holdings III (PRPC) entered into a backstop agreement with Neuberger Berman affiliate of up to $300M

• Greenrose Acquisition Corp. (GNRS) terminated its merger agreement Futureworks

  • Initially, GNRS announced the deal with Theraplant, Shango Holdings, Futureworks, and assets of True Harvest.

  • Subsequently, the SPAC announced that it would only merge with Theraplant and assets of True Harvest, and acquire the other two companies after the initial merger. The SPAC transaction was completed with just Theraplant. The company announced that it had closed its acquisition of the assets of True Harvest on Jan 3
